Terms of Business

  1. The contract
    All contracts for the provision of services by Techniques for Change Limited (TFC) shall be deemed to be made upon and subject to these Terms of Business. All contracts shall be governed by English Law.
  2. Fees
    (a) Fees are quoted on a lump sum basis or on the basis of time spent by reference to the consultant in the provision of services.
    (b) Any fees quoted are based on current rates at the time of quotation. Fees will be charged on the basis of rates current during the carrying out of the contract. In the event of an increase in the rates of the fees, TFC will give reasonable notice of the increase(s) and the date from which they are operable.
    (c) Invoices will be presented by TFC upon course confirmation. Invoices are payable within 30 days of submission or 30 days prior to the course, whichever date is earlier. If payment is not made within this time TFC shall be entitled to charge interest on the payment of 2.0% per calendar month.
    (d) Payments made by Credit Card will be subject to a handling fee.
    (e) Where applicable VAT at the current rate will be added to the invoice.
  3. Expenses and office services
    (a) Unless otherwise agreed clients will reimburse all out of pocket expenses which may be incurred in relation to the work including all travel and accommodation.
    (b) When work is being carried out on the client's premises the client will provide without charge suitable office accommodation with use of telephone and secretarial services.
  4. Confidentiality
    (a) All TFC staff are under a professional obligation to ensure that confidential information is not divulged to third parties.
    (b) Conversely reports and other documents prepared and advice given by TFC must not without prior written permission from TFC be disclosed to any third party.
    (c) No TFC materials may be reproduced in part or whole by any method without written permission from TFC. Copyright breaches will be pursued assiduously.
  5. Limits of liability
    TFC undertakes to carry out the work to the best of its ability. All statements made and advice given, are made in good faith and on the basis of information available at the time. However such statements and advice shall not be deemed in any circumstances to be undertakings, warranties or contracts.
  6. Consultant recruitment
    Clients undertake to not seek to recruit or contract directly in any way with any TFC consultant (or TFC associate used on the contract) during the contract and for a period of one year after the end of the contract.
  7. Termination
    (a) Cancellations or transfers after courses have been confirmed will incur an administration charge of 25% of the course fee. Cancellations and transfers within 28 days of the course date cannot be accepted and 100% of the fee will be payable.
    (b) TFC may suspend the performance of their obligations under this contract during the currency of any circumstances that materially adversely affect the performance of the service or for non-payment of fees by the client.
  8. Open courses
    (a) Our published fee includes course materials and use of training equipment as required. Prepared key topic notes, checklists and tools are provided for use in the workplace. The number of delegates attending each course is limited in order to secure maximum participation and learning.
    (b) The advertised fee does not include overnight accommodation or travel. Fees include buffet lunch and light refreshments. If you require accommodation we are able to book this on your behalf at a preferential rate subject to a £8.00+VAT booking fee.
